Starting a limited company or a limited liability partnership…
Starting a company is relatively easy in the UK…it is possible to apply and have a company registered in the same day!
Before making any rash decisions, it will pay to bear a few things in mind. If you want to have a say in how your company is governed, it is a good idea to draft your own articles of association (the rules which govern how your company is run), otherwise you will be subject to rules which are automatically implied by company law.
However, the drafting of terms and conditions is not the task for the layperson, as it is all too easy to miss out key things and contravene company law. Another important thing to consider is whether you want to have a shareholder’s agreement or not. A shareholder’s agreement will, for example, govern how shares can be transferred. You may want shares to be preserved within families or state that shares can only be transferred subject to them being offered to existing shareholders first (right of pre-emption).
